These Terms and Conditions (“Terms”) govern your use of the dispatching services provided by Digital Prime Sell (“we,” “us,” or “our”). By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Digital Prime Sell provides professional dispatching services, including but not limited to coordinating loads, communicating with brokers, optimizing routes, and managing necessary documentation. Our services are designed to assist trucking companies and owner-operators in maximizing their efficiency and profitability.

To access our services, you must complete the registration process and provide all required information, including a W9 form and an insurance certificate with Digital Prime Sell listed as a certificate holder. You agree to provide accurate and complete information and to update such information as necessary.
All payments for services rendered are due as specified in your service agreement with Digital Prime Sell. Invoices will be issued on a weekly or monthly basis, and payment is expected within the terms agreed upon in the dispatch agreement. Late payments may incur additional charges or interest, as stated in the agreement.

By engaging our services, you agree to provide Digital Prime Sell with limited Power of Attorney to represent your company in communications with brokers, shippers, and other relevant parties necessary for fulfilling the dispatching services.
Digital Prime Sell reserves the right to modify, suspend, or discontinue any part of our services at any time without prior notice. We will endeavor to inform you of any significant changes that may affect your use of our services.
Either party may terminate the service agreement at any time, with or without cause, by providing written notice to the other party. Upon termination, all outstanding payments for services rendered up to the date of termination will become immediately due and payable.
Digital Prime Sell shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our services. Our total liability for any claim arising under these Terms shall not exceed the amount paid by you for the services in question.
You agree to indemnify and hold harmless Digital Prime Sell, its employees, agents, and affiliates from any claims, losses, liabilities, damages, costs, or expenses arising out of or related to your use of our services, violation of these Terms, or infringement of any rights of a third party.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Digital Prime Sell is based, without regard to its conflict of law provisions.
Digital Prime Sell reserves the right to amend these Terms at any time. Any changes will be posted on our website at https://digitalprimesell.com/. Continued use of our services following any changes constitutes acceptance of those changes.
